- "Agent": A licensed real estate professional who uses our Service to create and manage property showings.
- "Buyer": An individual who accesses property information through our QR code system.
- "Content": All text, images, data, and other materials uploaded or created through the Service.
- "Property": Real estate listings managed through our Service.
- "Service": The Goodshow platform, including website, mobile applications, and related services.
- "Tags": QR codes and related physical/digital markers used to provide property information.
3. Eligibility
To use our Service, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Not be barred from using our Service under applicable law
4. Account Registration and Responsibilities
4.1 Account Creation
To access certain features of the Service, you may be required to create an account. You agree to:

- Keep your account credentials confidential

- Not use our Tags or Service to misrepresent properties or mislead buyers
5.2 Buyer Responsibilities
Buyers using our Service agree to:
- Use property information only for personal evaluation purposes
- Not redistribute or commercially exploit property information
- Respect property owner and agent privacy
- Not attempt to bypass or circumvent our security measures
6. Content and Intellectual Property
6.1 Your Content
You retain ownership of all Content you upload to our Service. By submitting Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Content in connection with the Service.
6.2 Our Intellectual Property
The Service and all related intellectual property rights are owned by Goodshow or our licensors. This includes our software, algorithms, user interface, design, text, graphics, and other content. You agree not to:

- The Content does not violate any laws or third-party rights
- The Content does not contain viruses or malicious code
7. QR Code Tags and Property Information
7.1 Tag Usage
Our QR code Tags are provided for your use in connection with legitimate real estate showings. You agree:
- To use Tags only for their intended purpose
- Not to modify, reproduce, or distribute Tags without permission
- To remove Tags when a property is no longer on the market
- Not to use Tags in a manner that could confuse or mislead buyers
7.2 Property Information Accuracy
Agents are responsible for ensuring that all property information provided through our Service is accurate, current, and compliant with all applicable laws and regulations. Goodshow does not verify the accuracy of property information and disclaims all liability for any inaccuracies.
8. Analytics and Data Usage
Our Service collects and provides analytics about property showings, including visitor engagement, time spent, and questions asked. You agree that:
- Analytics data may be used to improve our Service
- We may provide aggregated, anonymized analytics to third parties
- You will not use analytics data for illegal or unethical purposes
- You will comply with all privacy laws when using analytics data
9. AI Features and Limitations
Our Service includes AI-powered features such as question answering and content generation. You understand and agree that:
- AI responses are generated based on available data and may not always be accurate
- AI features do not constitute legal, financial, or professional advice
- You remain responsible for verifying AI-generated content
- AI features may evolve and change over time
10. Payment and Billing

IN NO EVENT SHALL GOODSHOW, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF THE SERVICE.
12.3 Real Estate Specific Disclaimers
Our Service is not a substitute for professional real estate advice. Property information may change, and we make no representations about property availability, condition, or value. All real estate transactions should be conducted with appropriate professional guidance.
13. Indemnification
You agree to defend, indemnify, and hold harmless Goodshow and its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the Service, your Content, or your violation of these Terms.
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
14.2 Dispute Resolution
Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction of such courts.
14.3 Arbitration
For disputes under $10,000, either party may elect binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be conducted in California.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website or through other reasonable means. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
